Terms of Service

These Terms of Service (this "Agreement") govern your access to and use of the website located at dealdeploy.com and any related subdomains (collectively, the "Site") operated by DealDeploy ("DealDeploy," "we," "us," or "our"). By accessing or using the Site, you ("you" or "User") agree to be bound by this Agreement. If you do not agree, you must not access or use the Site.

If you are accessing the Site on behalf of an organization, company, or other legal entity, you represent that you have the authority to bind that entity to this Agreement, in which case "you" refers to that entity.

1. Use of the Site.

The Site is provided for general informational and marketing purposes. DealDeploy grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Site in accordance with this Agreement and applicable law. We may modify, update, or discontinue the Site (or any part of it) at any time without notice or liability.

You agree to use the Site only for lawful purposes. You will not: (a) use the Site in any way that could damage, disable, overburden, or impair it, or interfere with any other party's use of it; (b) use any automated means (such as robots, crawlers, or scrapers) to access or collect data from the Site without our prior written permission; (c) attempt to gain unauthorized access to the Site or any connected systems or networks; (d) introduce any viruses, malware, or other harmful code; or (e) remove, alter, or obscure any proprietary notices on the Site.

2. Intellectual Property.

DealDeploy and its licensors own the Site and all content on it — including all text, graphics, images, logos, trademarks, and software (collectively, "DealDeploy Content") — along with all intellectual property rights in it. Except for the limited right of access granted above, no ownership or other rights in the Site or DealDeploy Content are transferred to you.

If you send us any feedback, comments, or suggestions about the Site or our products and services, you agree that we may use them without any obligation to you and without restriction.

3. Disclaimers.

THE SITE AND ALL DEALDEPLOY CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. ANY INFORMATION ON THE SITE IS FOR GENERAL INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE PROFESSIONAL ADVICE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF WARRANTIES, SO THE ABOVE MAY NOT APPLY TO YOU.

4. Limitation of Liability.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL DEALDEPLOY OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF, OR INABILITY TO USE, THE SITE, INCLUDING LOST PROFITS OR LOSS OF DATA, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DEALDEPLOY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100.00). Some jurisdictions do not allow certain limitations of liability, so the above limitations apply only to the extent permitted by applicable law.

5. Indemnification.

You agree to indemnify and hold harmless DealDeploy and its officers, directors, employees, and affiliates from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your access to or use of the Site or your breach of this Agreement.

6. Governing Law and Disputes.

This Agreement is governed by the laws of the State of Delaware, without reference to its conflict of laws principles. Any dispute arising out of or relating to this Agreement or the Site will be litigated exclusively in the federal or state courts located in Wilmington, Delaware, and you consent to the personal jurisdiction of those courts.

7. General.

We may modify this Agreement at any time. If we make material changes, we will post the updated Agreement on the Site and update the "Effective Date" above. Your continued use of the Site after changes take effect constitutes your acceptance of the revised Agreement.

If any provision of this Agreement is found to be unenforceable, the remaining provisions will stay in effect. Our failure to enforce any right under this Agreement is not a waiver of that right. You may not assign this Agreement without our prior written consent; we may assign it freely. This Agreement, together with our Privacy Policy, is the entire agreement between you and DealDeploy regarding your use of the Site.
